Receipt of an order confirmation does not guarantee that an order will be fulfilled. In the event of a cancellation, any charges will be refunded using the original payment method.

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES;
• WARRANTIES THAT ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED;
• WARRANTIES REGARDING THE QUALITY, SAFETY, OR SUITABILITY OF ANY FOOD PRODUCT FOR ANY PARTICULAR PURPOSE OR INDIVIDUAL.

Some jurisdictions do not allow the exclusion of certain warranties; therefore, some of the above exclusions may not apply to you. In such cases, Wing Snob's warranties are limited to the minimum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES;
• ANY ERRORS, INACCURACIES, OR OMISSIONS IN ANY CONTENT;
• ANY OTHER MATTER RELATING TO THE SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth herein reflect a reasonable allocation of risk between the parties and are a fundamental element of the basis of the bargain between Wing Snob and you. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; accordingly, some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, contractors, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

• Your violation of these Terms or any applicable law or regulation;
• Your use or misuse of the Services;
• Your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights;
• Any content you submit, post, or transmit through the Services;
• Your negligence, willful misconduct, or fraudulent activity;
• Any dispute between you and any third party, including delivery personnel or other users.

Wing Snob reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Wing Snob, and you agree to cooperate with Wing Snob's defense of such claims. You agree not to settle any such matter without Wing Snob's prior written consent. Wing Snob will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Wing Snob's principal place of business is located, without regard to conflict of law principles that would require the application of the laws of any other jurisdiction.

These Terms are subject to applicable federal laws of the United States, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) governing unfair or deceptive acts or practices in commerce, the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), and other applicable federal statutes and regulations.

Where applicable, these Terms may also be subject to state consumer protection laws. California residents may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), and Wing Snob's Privacy Policy addresses those rights in detail.

Subject to the dispute resolution provisions set forth below, you consent to the exclusive jurisdiction of the state and federal courts located in the United States to resolve any legal matter arising from these Terms or the Services. You waive any objection to the laying of venue of any such proceeding in such courts and waive any claim that such proceeding has been brought in an inconvenient forum.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Wing Snob and attempt to resolve the dispute informally by sending a written notice of your dispute to Wing Snob at [email protected]. The notice must include your name, contact information, a description of the nature and basis of the claim or dispute, and the specific relief sought. Wing Snob will attempt to respond within thirty (30) days of receiving your notice. If the dispute cannot be resolved through informal means within sixty (60) days after Wing Snob receives your notice, either party may proceed to formal dispute resolution as set forth below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, you and Wing Snob agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Disputes") shall be resolved solely by binding arbitration on an individual basis, and not in a class, representative, or consolidated action or proceeding. The arbitration shall be conducted in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA), as applicable, which are available at www.adr.org. The arbitration shall be conducted in English and may be conducted remotely. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND WING SNOB AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or to prevent imminent harm. This section shall not be construed to limit Wing Snob's right to pursue collection of any amounts owed to Wing Snob through any lawful means.

13. Third-Party Links and Services

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by Wing Snob. Wing Snob has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Wing Snob does not warrant the offerings of any third parties or their websites. You acknowledge and agree that Wing Snob shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. Wing Snob shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor strikes, supply chain disruptions, power outages, internet or telecommunications failures, civil unrest, terrorism, or any other event of force majeure. In such circumstances, Wing Snob's obligations shall be suspended for the duration of the force majeure event, and Wing Snob shall use commercially reasonable efforts to resume performance as soon as practicable.

18. Electronic Communications

By using the Services, you consent to receive electronic communications from Wing Snob, including via email, text message (with your separate consent where required), or notices posted on the website. You agree that all agreements, notices, disclosures, and other communications that Wing Snob provides to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
